MAFD Constitution

ARTICLE I
NAME
This group shall be known as the Maryville Alcoa Flying Dolphins Swim Team Association; hereinafter referred to as the MAFD Association, which will be a non-profit organization.

ARTICLE II
OBJECTIVES
The objectives of the MAFD Association are:

  1. To cooperate and work with the Recreation and Parks Commission of Maryville, Alcoa and Blount County in promoting competitive swimming in a positive environment.
  2. To foster and improve amateur aquatic sports according to the standards and under the rules presented by the Greater Knoxville Area lnterclub Swim Association (GKAISA).
  3. To protect and promote the mutual interest of its individual members.

ARTICLE Ill
MEMBERSHIP IN THE ASSOCIATION
Any resident of the Maryville, Alcoa, Blount County or surrounding areas, shall be eligible to petition for membership in MAFD.
The active membership is composed of persons who have expressed intent to participate.
As an active member of the Maryville Alcoa Flying Dolphins Association, one will be subject to the policies and payment requirements of the Recreation and Parks Commission.
Membership in the Association is a renewable, one year term, dependant on registration through the Recreation and Parks Commission.

ARTICLE IV
MANAGEMENT
The management of the affairs of MAFD shall be delegated to a Board of Directors, as outlined in the By-Laws of the Maryville Alcoa Flying Dolphins.  Election of the Board of Directors will be completed annually at the final Association meeting of the season.

ARTICLE V
DUTIES AND POWERS OF THE BOARD OF DIRECTORS
The Board of Directors shall, in addition to the duties and powers elsewhere in the Constitution prescribed, have power, and it shall be their duty:

  1. To uphold the Constitution and By-Laws of MAFD.
  2. To remove from office by a five-sevenths vote any member of the Board of Directors who shall be in neglect of his responsibilities to the Association.
  3. To fill unexpired vacancies in the Board of Directors occurring from any cause.
  4. To be responsible for the finances of the MAFD.

ARTICLE VI
MEETINGS OF THE ASSOCIATION
The meetings of the Association shall be held the first Tuesday after Memorial Day and after the final meet of each year.
Special meetings of the Association may be called at any time by the Board of Directors or by the written request of at least one-third of all active voting members of the Association.

ARTICLE VII
AMENDMENTS
No amendments shall be made to this Constitution except by recommendation of The Board of Directors and by a majority vote of the active voting members attending a general meeting. The said proposed amendment shall be submitted to The Board of Directors at least thirty (30) days prior to the meeting upon which it shall be acted.
A copy of the Constitution and By-Laws shall be kept on file at Recreation and Parks Commission of Maryville, Alcoa and Blount County. That copy shall be considered the copy of record if any dispute should arise. There will also be available a copy of the Constitution and By-Laws on the MAFD website.
Modifications, and/or ratification of the Constitution of MAFD must be approved by a majority of the voting Board of Directors. Each present, acting Board member is afforded one vote. No vote by proxy.

ARTICLE VIII
DISTRIBUTION OF ASSETS AND LIABILITIES UPON DISSOLUTION
In the event the MAFD shall be dissolved, all of its property, assets, and liabilities shall be distributed as directed by the Board of Directors to the following organization - provided such organization is qualified at that time - to the Recreation and Parks Commission of Maryville, Alcoa and Blount County being better known as Parks and Rec.
In no event shall any of the property or assets of the Association be returned to or distributed among the members of MAFD.
